These terms govern use of the Wolverine business development platform (“Wolverine”, the “Service”), provided by Sparrow Technology Solutions, LLC (“Sparrow”) to the organization that licenses it (the “Customer”). By signing in you agree to them on your own behalf and on behalf of the Customer where you are authorized to do so.
1. Authorized use
Access is granted to named individuals by the Customer’s administrators. Accounts are personal and must not be shared. You are responsible for activity under your account and for keeping your credentials secure. Notify the Customer’s administrators immediately if you believe your account has been compromised.
Use the Service only for the Customer’s legitimate business development activity. Do not attempt to access data belonging to other organizations, circumvent access controls, probe or test the security of the Service, or use it to store or transmit malicious code.
2. Information classification — important
Wolverine is authorized for non-classified, non-CUI information only. It is a commercial cloud application and is not accredited for Controlled Unclassified Information, classified national security information, or ITAR- or EAR-controlled technical data.
You must not upload, paste, or otherwise enter into the Service:
- Information bearing CUI markings or requiring CUI handling under 32 CFR Part 2002;
- Classified national security information at any level;
- Export-controlled technical data subject to ITAR or the EAR;
- Information restricted by a non-disclosure agreement that prohibits cloud storage.
The Service screens uploaded content for markings that suggest controlled information and will refuse material that appears to carry them. That screening is a safety net, not a determination. It can miss controlled content and can flag documents that merely reference these requirements. Responsibility for correctly classifying information rests with you and with the Customer’s security organization. Opportunity records may indicate that a future award may involve classified work, a DD Form 254, or export controls; recording that expectation is not the same as holding such material, and the Service must not be used to hold it.
3. AI-assisted features
Wolverine uses large language models to draft assessments, suggest a probability of win, summarize documents, and edit written content. Where enabled, the content you submit for these features is transmitted to the configured provider for processing.
AI output is advisory and may be wrong. A suggested probability of win is a machine estimate, never a substitute for the capture team’s judgment; the owner’s own figure drives all reporting and is never changed automatically. Review AI-generated content before relying on it, and never submit information to these features that section 2 prohibits.
4. External teaming access
The Service allows the Customer to share individual opportunities with external teaming partners through a restricted portal. If you share an opportunity you are responsible for confirming that the recipient is entitled to receive that information, that any applicable non-disclosure agreement is in place, and that the material shared is appropriate for disclosure. Partner access is read-only, may be revoked at any time, and is logged.
If you are an external partner using the portal, you may use information shared with you only to evaluate and pursue the teaming opportunity for which it was provided, and you must not redistribute it.
5. Third-party data sources
The Service can retrieve opportunity information from SAM.gov, from Deltek GovWin IQ, and from other sources the Customer configures. Content retrieved from a licensed source such as GovWin IQ remains subject to the Customer’s agreement with that provider, including any restriction on redistribution. Sparrow does not warrant the accuracy, completeness, or timeliness of third-party data.
6. Customer data and ownership
As between Sparrow and the Customer, the Customer owns all data it enters into the Service. Sparrow owns the Service itself, including its software, design, and documentation. Nothing here transfers ownership of either.
Sparrow processes Customer data to operate the Service, as described in the Privacy Policy. Sparrow does not use Customer data to train machine learning models and does not sell it.
7. Monitoring and audit
Activity in the Service is logged, including sign-ins, record changes, document access, external sharing, and content refused by security screening. The Customer’s administrators and security personnel may review those logs. Use of the Service constitutes consent to that logging.
8. Availability
Sparrow works to keep the Service available but does not guarantee uninterrupted operation. The Service may be unavailable during maintenance, third-party outages, or events outside Sparrow’s reasonable control. Availability commitments, if any, are set out in the agreement between Sparrow and the Customer and are not created by these terms.
9. Disclaimers and liability
The Service is provided “as is”. To the maximum extent permitted by law, Sparrow disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. Sparrow is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunity, arising from use of the Service. Any liability is subject to the limits in the agreement between Sparrow and the Customer.
Nothing in the Service constitutes legal, contractual, financial, or security advice. Bid decisions, pricing, classification determinations, and compliance obligations remain the Customer’s responsibility.
10. Suspension and termination
The Customer’s administrators may suspend or remove any account at any time. Sparrow may suspend access where necessary to protect the Service or to comply with law. On termination of the Customer’s agreement, data is handled as described in the Privacy Policy.
11. Changes
These terms may be updated as the Service changes. The effective date above indicates the current version. Material changes will be communicated to the Customer’s administrators. Continued use after a change constitutes acceptance.
12. Contact
Questions about these terms should be directed to Sparrow Technology Solutions, LLC at sboyd@sparrowsolutions.co, or raised with the Customer’s administrators through the suggestion box on the Help page.
